UK subsidiary – S172(1) Companies Act 2006 statement

Section 172 of the Companies Act 2006 (the ‘Companies Act’) sets out a director’s duty to act in good faith in promoting the success of the company for the benefit of its members as a whole, while having regard to the interests of stakeholders. Under the Act and the Companies (Miscellaneous Reporting) Regulations 2018, qualifying companies must include a statement in the strategic report of their annual report and accounts that describes how their directors have had regard to the matters set out in Section 172.
